Terms of Service

1. Who we are

PrepProfit is a software service operated by a private trader registered in Finland (Business ID 3399953-5, VAT FI33999535), referred to below as "PrepProfit", "we" or "us". You can reach us at info@prepprofit.com.

These Terms of Service (the "Terms") govern your access to and use of the PrepProfit web application and website at prepprofit.com (the "Service").

2. The Service

PrepProfit is a business tool for restaurants, bakeries, patisseries and other food businesses: recipe costing, inventory, financial records, break-even analysis, invoicing, payroll summaries, document generation, data imports and AI-assisted recipe extraction.

The Service is offered to businesses and professionals (B2B). By creating an account you confirm that you are acting in the course of a trade, business or profession, not as a consumer.

3. Accounts and workspaces

You need an account to use the Service. You are responsible for keeping your credentials secure and for all activity under your account.

Data in the Service is organized in workspaces (organizations). Access within a workspace is controlled by roles that the workspace administrator assigns.

You must provide accurate information when signing up and keep it up to date.

4. Plans, trial and payment

Current plans, prices and plan limits are shown on our pricing page and at checkout. Prices may change; changes apply from your next billing period after reasonable notice.

Every new workspace starts with a 14-day trial with access to Business-level features, no payment card required. If you do not choose a paid plan by the end of the trial, the workspace moves to the Free plan automatically and your data is retained.

Paid subscriptions are billed in advance on a monthly or annual basis and renew automatically until cancelled. Payments are processed by our payment provider (Stripe); we do not store card numbers.

You can cancel at any time; cancellation takes effect at the end of the paid period already invoiced. Except where required by law, fees are non-refundable.

5. Your data

The business data you enter into the Service (recipes, ingredients, prices, financial records, invoices, employee records and similar) remains yours. We claim no ownership of it.

You grant us the limited right to host, process, back up and display that data solely to provide the Service.

You can export your data from the Service at any time, and you are responsible for the accuracy and lawfulness of the data you enter — including having a legal basis for any personal data (for example employee names) you store in the Service.

6. AI features

Some features use artificial intelligence (for example extracting recipes or supplier invoice data from photos). AI output is a draft that always requires your review and confirmation before it affects your data.

AI output can be inaccurate. You are responsible for reviewing it before relying on it. AI features are subject to monthly usage quotas that depend on your plan.

7. Acceptable use

You agree not to:

• use the Service for anything unlawful, or to store content you have no right to store;
• attempt to gain access to other customers' workspaces or data;
• probe, scan, overload or disrupt the Service or its infrastructure;
• resell, sublicense or provide the Service to third parties as a service bureau;
• reverse engineer the Service except where the law permits it despite this clause.

We may suspend accounts that violate these rules, where practical after notice.

8. Availability and changes

We aim to keep the Service available at all times but do not guarantee uninterrupted availability. Maintenance, updates and factors outside our control may cause interruptions.

We may improve or change features over time. If we discontinue a material feature you pay for, we will give reasonable advance notice.

9. Intellectual property

The Service, its software, design and branding are owned by us or our licensors. These Terms do not transfer any intellectual property rights to you beyond the right to use the Service while your subscription is active.

10. Disclaimer

The Service is provided "as is" and "as available". PrepProfit is a management tool: figures it produces (costs, margins, break-even, payroll summaries, tax-related amounts) depend on the data you enter and are not accounting, tax or legal advice. Verify important figures with your accountant or advisor.

11. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential damages, including lost profits, lost revenue or lost data.

Our total aggregate liability arising out of or related to the Service is limited to the fees you paid for the Service during the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under mandatory law, such as liability for intentional misconduct or gross negligence.

12. Termination

You may stop using the Service and delete your account at any time; account deletion can be requested in Settings.

We may terminate or suspend access for material breach of these Terms if the breach is not cured within a reasonable period after notice, or immediately for serious abuse or legal necessity.

After termination we will retain your data for a reasonable wind-down period so you can export it, unless you request earlier deletion, after which it is deleted in line with our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify you (for example by email or in-app notice) before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of Finland, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

Disputes that cannot be resolved amicably are settled by the District Court of Helsinki, Finland.
